A. INTRODUCTION AND APPLICATION

Golden Goliath Resources, Ltd. ("GNG") reputation and success is due largely to the integrity and competence of the people who conduct its business. This Code of Business Conduct and Ethics (the "Code") applies to every director, officer and employee and other representative (each a "Representative" and collectively the "Representatives") of Golden Goliath, its direct and indirect subsidiaries and every joint venture managed by it (all such entities collectively the "Corporation").
